Global law firm Freshfields is advising Alpha Group International plc (Alpha) on its recommended acquisition by Corpay, Inc (Corpay).
Under the terms of the offer, which values Alpha at approximately £1.8bn, Alpha shareholders will receive £42.50 per share in cash, representing a 55% premium to Alpha’s undisturbed share price. The acquisition is intended to be effected by scheme of arrangement and is expected to close in Q4 2025, subject to shareholder approval and satisfaction of regulatory conditions.
Alpha is a FTSE250 listed, award-winning global provider of financial solutions to some of the world's most respected organisations. Corpay, the corporate payments company, is a global S&P 500 provider of commercial cards and AP automation solutions to businesses worldwide.
The Freshfields team advising on the transaction is being led by partners Andrew Hutchings and Nick Jones.
