Andrew is a senior partner in our Global M&A practice.
Andrew has been a partner in our global M&A group for over 20 years. He focuses on complex public and private cross-border M&A transactions. In addition to M&A, Andrew has significant experience advising Boards of large global companies on governance and other boardroom issues, including shareholder activism.
Andrew has previously co-headed our global M&A business and before that our global financial institutions group. He regularly advises on transactions in the financial institutions sector and in a wide range of other sectors. Andrew regularly acts for listed companies, international groups and financial investors, including infrastructure funds.
Andrew mentors on our Stephen Lawrence Scholarship Scheme and is an Ambassador for our Social Mobility Network.
- Alpha Group International on its £1.8bn recommended acquisition by Corpay;
- AMG on its minority investment in Qualitas, an alternative asset manager;
- AstraZeneca on an unsolicited takeover approach from Pfizer in respect of a proposed $118bn share for share acquisition;
- Beazley on its proposed £8.2bn recommended acquisition by Zurich Insurance;
- Caledonia Investments on a Rule 9 waiver transaction;
- Everton Football Club in connection with its sale to The Friedkin Group;
- Ferrovial on the take privates of BAA plc and Amey plc;
- HSBC on numerous transactions including its merger of SABB and Alawwal Bank in Saudi Arabia and the sales of its French retail banking business to a bank controlled by Cerberus, its French insurance business to Matmut SAM and its UK insurance business to Chesnara;
- Hellman & Friedman on its £4bn take-private of Nets and on the subsequent Concardis merger;
- JD Sports on its acquisition of Courir (France), the purchase of a joint venture interest in ISRG (Portugal and Spain) and the acquisition of Hibberts (US);
- London Stock Exchange Group on various transactions including its $27bn all share acquisition of Refinitiv and related sale of Borsa Italiana the defence of an unsolicited £32bn approach from HKSE, a 10 year strategic partnership with Microsoft and the £21bn proposed merger with Deutsche Börse;
- Lord Kirkham on the take-private of DFS and subsequent sale to Advent;
- Macquarie on its take private of infrastructure business K-Com;
- MSC on the £3.7bn recommended cash offer for hospital operator, Mediclinic (alongside Remgro);
- MSC on the sale of a minority interest in ports company, Terminal Investments to GIP and the subsequent investment by GIC, including related shareholder arrangements;
- Patrizia on its auction acquisition of Rockspring, a UK asset manager;
- Permira on its auction acquisition of Bestinvest and Tilney Investments, the initial acquisitions in the establishment of Evelyn Partners; and
- The partners of TT International (TTI), on the sale of the TTI business to the Japanese banking group, Sumitomo Mitsui Financial Group, Inc.
