Freshfields advises the underwriting banks on the £500m equity raise by Land Securities Group PLC

Global law firm Freshfields advised UBS AG London Branch, Barclays Bank PLC and Deutsche Bank AG, London Branch, as joint global co-ordinators, on the placement of 83.3 million ordinary shares in Land Securities Group PLC (Landsec), raising approximately £500 million. The placing was conducted concurrently with an offer to retail investors and subscriptions by certain directors of Landsec.

Landsec is a leading real estate company in the UK with a £10 billion portfolio of retail, leisure and workspace hubs and is listed on the London Stock Exchange.  The capital raised will be used to partially fund Landsec’s proposed acquisition of Metrocentre in Newcastle, as well as the further consolidation of Landsec’s interests in its existing retail portfolio.

The Freshfields team was led by partner Egor Marisin, alongside associate Jack Harrison. Additional support was provided by partner Tom Godwin. US law advice was provided by counsel Ethan Magid and associate Sophie Desch.  Tax advice was provided by partner Peter Clements and associate John Healy.

The transaction represents the third largest equity raise on the London Stock Exchange’s Main Market in the last 12 months, alongside SSE plc’s £2bn equity raise in November 2025 and United Utilities plc’s £800m equity raise in April 2026. Freshfields is the only law firm to have advised on all three of these transactions.
