Freshfields advises Asieris on exclusive licensing agreement with Theramex for CEVIRA®
Global law firm Freshfields has advised Asieris Pharmaceuticals, a global innovative biopharmaceutical company focused on genitourinary tumours and women’s health, on its conditional exclusive license agreement with Theramex, a global specialty pharmaceutical company dedicated to women and their health, relating to CEVIRA® (APL-1702), a photodynamic drug-device combination product being developed as a potential first-in-class non-surgical treatment for high-grade cervical lesions associated with human papillomavirus (HPV).
Under the agreement, Theramex will receive exclusive rights and be responsible for commercialising CEVIRA® in Europe as well as Australia, New Zealand and Turkey following applicable regulatory approvals, while Asieris retains rights in the rest of the world and will continue to support the programme through its development and manufacturing capabilities. The transaction includes an upfront payment, regulatory and commercial milestone payments, and tiered royalties, with an aggregate deal value exceeding US$250 million.
The Freshfields team advising Asieris was led by partners Elisabeth Wulf (Hamburg), Philipp Dohnke (Hamburg) and Ya Ma (Hong Kong), and included principal associate Maximilian Zellerhoff (Hamburg), associate Yichen Xing (Shanghai) and senior associate Ben Cohen (London).
