Freshfields advises DEUTZ again on cash capital increase via accelerated bookbuilding
Global law firm Freshfields has advised DEUTZ AG, a company listed on the MDAX, on its cash capital increase via accelerated bookbuilding. Approximately 15.3 million new shares were issued to institutional investors at a placement price of €11.70 per share, excluding existing shareholders’ subscription rights. The gross proceeds from the issue amount to approximately €179m. DEUTZ’s calculated market capitalisation following the capital increase is about €2bn.
The new shares are expected to be admitted to trading on the regulated markets of the Frankfurt and Düsseldorf stock exchanges on 17 September 2026 without a prospectus. Trading in the new shares, which will be included in the company’s existing listing, is expected to commence on 18 September 2026.
In recent years, DEUTZ has successfully evolved from a manufacturer of combustion engines into a diversified industrial group that offers powertrain, energy, and defense solutions, underpinned by a strong service business. DEUTZ intends to use the net proceeds from the capital increase to optimize its capital structure in order to enhance its financial flexibility for future growth opportunities.
The Freshfields team was led by Partner Christoph H. Seibt, supported by Associates Moritz Meyer and Felix Schüßler (all Corporate/M&A, Hamburg). Partner Simone Bono (London) and Associate John R. Haviland (Frankfurt) advised on matters relating to US Capital Markets Law.
Inhouse at DEUTZ, Alexander von Voß (General Counsel) managed the legal aspects of this transaction.
Teams led by Hamburg-based Partner Christoph H. Seibt have frequently advised DEUTZ over the past ten years on corporate and capital markets law matters, M&A transactions and capital measures; most recently, for example, in 2024 on the acquisitions of assets relating to certain diesel engines from Rolls-Royce Power Systems, as well as in 2023 from Daimler Truck and on the previous capital increases in 2024 and 2025.
