Freshfields Advises Arcline on its US$535m Acquisition of Continental Aerospace Technologies

Jun 8 2026

Freshfields is advising Arcline Investment Management on its proposed acquisition of Continental Aerospace Technologies, from Hong Kong-listed Continental Aerospace Technologies Holding Limited (Stock Code: 232) for approximately US$535 million.

Arcline is a US-based, growth-oriented private equity firm with over US$30 billion in assets under management.

Founded in 1905 and headquartered in Mobile, Alabama, Continental is a leading designer and manufacturer of piston aircraft engines and provider of related aftermarket products and services for the general aviation market.

Arcline’s acquisition of substantially all of the seller’s assets triggers the application of the Hong Kong Takeovers Code and regulatory oversight by the Securities & Futures Commission of Hong Kong over the transaction.

The transaction draws on Freshfields’ cross-border M&A capabilities, combining sector expertise in aerospace & defense with our ability to deploy fully integrated, multi-jurisdictional teams in support of US sponsor clients navigating complex global transactions.

The Freshfields team advising Arcline included partners Edward Freeman, Neal Reenan and Nicholas Lütgerath, senior associate Kelly Huang, associates Eric Cheung and Mila Amstislavskaya, and trainee Ovi Cheung. Partner Daniel French, counsel Celia Zhou and senior associate Jacqueline Cheung are advising on finance matters. Partners Laurent Bougard and Uwe Salaschek, and associate Paulina Kraenzlein, are advising on regulatory and antitrust matters. Partner Lori Goodman, counsel Regina Erie and associate Deena Muzafar are advising on employment matters. Partner Mena Kaplan and associates Olivia Luongo and Kayla Weston are advising on IP/IT matters. Partner Jeremiah Nelson and associates Tosin Owoka and Kate Koudouna are advising on real estate. Partner Stephanie Brown Cripps and senior associate Noah Lipkowitz are advising on sanctions. Partner Brock Dahl and associates Jackson Myers and Andrew Gabel and Israa Saber are advising on data privacy matters. Partner John Rousakis is advising on environmental matters.

Details of the transaction can be found here.
