Freshfields advises Blackstone on recommended cash acquisition of Senior plc
Global law firm Freshfields has advised funds managed by Blackstone as part of a consortium on the recommended cash acquisition of Senior plc, a UK-listed international manufacturer of high-technology components and systems serving the aerospace, defence and energy markets.
The acquisition is being undertaken by Zeus UK Bidco Limited, a newly formed company indirectly controlled by investment funds advised by affiliates of Tinicum Incorporated and Blackstone, and is intended to be effected by way of a court-sanctioned scheme of arrangement.
Under the terms of the transaction, Senior shareholders will be entitled to receive 300 pence per share, implying an equity value of approximately £1.275 billion and an enterprise value of approximately £1.4 billion.
The transaction highlights continued strong investor demand for high-quality aerospace and industrial assets, particularly those with differentiated engineering capabilities and exposure to long-term structural growth trends.
