Freshfields advises SFC Energy on the acquisition of minority stake in Oneberry Technologies

Oct 24 2025

Global law firm Freshfields is advising listed SFC Energy AG on the acquisition of a 15% stake in Oneberry Technologies Pte. Ltd., a Singapore-based market leader in AI-powered public and private security solutions. SFC Energy's participation in Oneberry occurs by way of a capital increase. Freshfields provided comprehensive advice on the legal structuring and negotiation of the legal documentation. The transaction documents also include an option for SFC Energy AG to acquire a majority stake in Oneberry.

SFC Energy AG is a listed (regulated market; Prime Standard) SDAX included leading provider of hydrogen and methanol fuel cells for stationary, portable, and mobile hybrid power solutions. The company distributes its products worldwide. Oneberry was founded in Singapore and offers fully automated, mobile, and “man-free” surveillance systems under long-term service contracts with public- and private-sector clients. With this transaction, SFC Energy AG strengthens its regional presence in Asia and achieves further integration of its fuel cell solutions into the fast-growing public security, critical infrastructure and border protection as well as drone defense market by combining SFC Energy AG's fuel cell technology with Oneberry's expertise in intelligent automation and artificial intelligence, thus enabling integrated, off-grid surveillance and monitoring solutions with low to zero emissions through the use of SFC products.

The Freshfields team is led by Partner Christoph H. Seibt and Principal Associate Dr. Maximilian Stöwahse (both corporate/M&A, Hamburg).

In addition, Counsel David Schwintowski and Daniel Boyle (both Singapore) and Associates Christoph Beckmann and Moritz Meyer (both Hamburg) are advising on Corporate/M&A matters, Counsel Chris Gotch (London) is advising on Tax Law, Counsel Marlen Vesper-Gräske (Berlin/Hamburg) and Associates Valentin Weigel (Berlin) and Rosa Emadi (Vienna) are advising on compliance & ESG questions, and associate Nico Kiekebusch (Berlin) is advising on antitrust law.

TSMP Law Corporation advises on Singaporean law.

At SFC Energy AG, the transaction is being handled by Daniel Saxena (CFO).

Seibt have been advising SFC Energy AG since its IPO (2007) on corporate and capital market law issues as well as on M&A transactions and financing, most recently, for example, on the acquisition of the hydrogen fuel cell business of Ballard Power Systems (2024), the establishment of a strategic partnership in India (2023), and a rights issue capital increase (2022).
