Freshfields represented Sonoco Products Company in its SEC-registered $1.8 billion offering of bonds, consisting of $500 million aggregate principal amount of 4.450% notes due 2026, $600 million aggregate principal amount of 4.600% notes due 2029 and $700 million aggregate principal amount of 5.000% notes due 2034, and its arrangement of lender commitments to fund a $700 million senior term loan facility and a $1.5 billion senior term loan facility. Sonoco intends to use an amount equal to the net proceeds from the bond offering and the term loan facilities to fund its acquisition of Eviosys, a global metal packaging company that produces food cans and ends, aerosol cans, metal closures and promotional packaging with a large metal food can manufacturing footprint in the Europe, Middle East and Africa region.
