Becky advises and defends technology and life sciences public companies and their officers and directors. She is deeply specialized in the federal securities laws and the corporate law of Delaware, Texas, Nevada, and foreign jurisdictions. Clients lean on her expertise and practicality to provide business-savvy advice on disclosures, litigation readiness, and compliance and reporting structures. She works closely with her clients to design internal controls to prepare their organizations for changing regulatory environments.
Before joining Freshfields, Becky was an associate in the New York office of Paul, Weiss where she focused on securities and shareholder litigation, white collar defense, government investigations, and M&A litigation. Becky serves on the firm’s US pro bono committee. She has helped win asylum status and green cards for Afghans who assisted NATO forces and represents youths fleeing violence in their home countries.
In her spare time, Becky runs, goes hiking with her dog, serves as a comfortable seat for her cat, and cooks practical vegetarian food whenever she can.
- Alphabet: Becky has defended and advised Alphabet across a wide variety of lawsuits and issues, including favorably settling a derivative lawsuit against its officers and directors relating to antitrust enforcement actions against the company and convincing a shareholder to voluntarily dismiss a books and records lawsuit in Delaware.
- EVs and New Tech: Becky has represented a wide range of EV companies like Rivian and other market leaders, as well as other cutting-edge technology companies, across an array of securities and shareholder lawsuits, books and records demands, and advisory work.
- SEC Defense & Internal Investigations: Becky has successfully represented technology and communications companies and their executives in insider trading investigations, resulting in complete victories for her clients without any regulatory fines, penalties, or warnings.
- Life Sciences: Becky represented a major pharmaceutical company in a securities fraud claim, achieving a complete dismissal of all claims. She also advises other life sciences companies on internal compliance, regulatory responses, and litigation readiness.
- Advisory and Compliance: Becky frequently advises companies on internal compliance issues, including insider trading, board reporting, and SEC disclosures. She has also conducted internal investigations on behalf of company boards tackling sensitive compliance issues.
- Deal Advice: Deal teams frequently seek Becky’s counsel on litigation and compliance aspects of deals for both US and international issuers.
