Freshfields advises HELLA on €300m bond placement
Global law firm Freshfields has advised MDAX-listed HELLA GmbH & Co. KGaA on selected capital markets and corporate law matters in connection with the placement of a bond with a volume of €300m.
The unsecured bond has a four-year term to September 2030 and carries a coupon of 5.25% p.a. The net proceeds of the issue are to be used in particular to refinance the bond maturing in January 2027. Admission to trading on the Euro MTF market of the Luxembourg Stock Exchange has been applied for. The bond has been rated Ba1/NP (Moody's) and BBB- (Fitch).
The Freshfields team was led by Partner Christoph H. Seibt and further comprised Principal Associate Jean Mohamed and Associate Dr. Jannik L. Maas (all Corporate/M&A/Capital Markets, Hamburg).
In-house, the bond placement was legally supported by Nadja Hanuschkiewitz (General Counsel) and Ann-Katrin Dittschar (Head of Corporate Legal Affairs and M&A).
Teams led by Partner Christoph H. Seibt have been advising HELLA on an ongoing basis for over a decade on capital markets and corporate law matters as well as on M&A transactions, most recently on the sale of the BHTC joint venture (2023), the sale of the HBPO stake (2022), and the takeover process by FORVIA and the subsequent group cooperations (since 2022).
