Freshfields Advises TPG Mortgage Investment Trust on Its Acquisition of Cherry Hill Mortgage Investment Corporation

Freshfields is advising TPG Mortgage Investment Trust, Inc. (NYSE: MITT), a publicly traded residential mortgage real estate investment trust managed by AG REIT Management, LLC, an affiliate of TPG Inc. (NASDAQ: TPG), on its all-stock and cash acquisition of Cherry Hill Mortgage Investment Corporation (NYSE: CHMI), a residential mortgage REIT. Learn more about this transaction here.  

Upon closing, MITT stockholders are expected to own approximately 73% of the combined company, with CHMI stockholders owning approximately 27%. The transaction is expected to close in the fourth quarter of 2026, subject to approval by stockholders of both MITT and CHMI and customary closing conditions.
