Freshfields advised DigitalOcean Holdings, Inc. (“DigitalOcean”) in connection with its private repurchase of approximately $470 million of its outstanding convertible notes and on its $1.474 billion concurrent registered direct offering of 12,543,915 shares of its common stock. DigitalOcean used the proceeds of the equity offering to fund the repurchase of approximately $470 million principal amount of its outstanding 0.00% convertible senior notes due 2030 in privately negotiated repurchase transactions with a limited number of noteholders for an aggregate repurchase price of approximately $1.474 billion.
