Freshfields Advises Supermicro on Equity and Equity-linked Financing Transactions for Proceeds of up to $7.0bn
Global law firm Freshfields is advising Supermicro (NASDAQ: SMCI), a Total IT Solution Manufacturer for AI, Cloud, Storage and 5G/Edge, on its concurrent equity and equity-linked financing transactions. The gross proceeds of these offerings, which include $3.75 billion in depositary shares representing mandatory convertible preferred stock and $1.25 billion in common shares, together with potential gross proceeds from Supermicro's $1.25bn at-the-market offering program for the sale of common stock over time, represent a total potential equity raise of $7.0bn, inclusive of the underwriters' options to purchase additional shares and additional depositary shares. The offering of common stock is expected to close on June 12, 2026 and the offering of depositary shares is expected to close on June 15, 2026, subject to customary closing conditions.
