Freshfields advises ams OSRAM on the sale of its CMOS Image Sensor business to indie Semiconductor

Global law firm Freshfields is advising ams OSRAM, a global leader in innovative light and sensor solutions, on the sale of its CMOS Image Sensor (CIS) business to indie Semiconductor Inc., a company listed on the US stock exchange Nasdaq.

The total consideration amounts to EUR 40 million, consisting of EUR 35 million in cash and a EUR 5 million seller's note payable after two years. The transaction is expected to close within the next six months, subject to customary closing conditions.

The transaction is structured as a combination of share and asset deals in multiple jurisdictions. It enables ams OSRAM to further concentrate its growth investments on Digital Photonics vectors, including AI Photonics comprising highly parallel Optical Interlinks for AI data centers and advanced display technologies for AR smart glasses amongst other applications. At the same time, the transaction proceeds strengthen ams OSRAM's balance sheet and make an important contribution to the company's accelerated deleveraging plan.

US-company indie Semiconductor Inc. specialises in the development of innovative semiconductor solutions for the automotive industry and adjacent markets.
