Freshfields advises Arcus on acquisition of TrueNoord
Global law firm Freshfields is advising funds managed by Arcus Infrastructure Partners (‘Arcus’) on its agreement to acquire c.74% of TrueNoord, a leading specialist lessor of regional aircraft.
Founded in 2016 with offices in Amsterdam, Dublin, London and Singapore, TrueNoord operates predominantly across Europe and North America. Its fleet comprises approximately 111 aircraft leased to 37 airlines across 25 countries.
The transaction is expected to complete by Q3 2026, subject to certain regulatory and other conditions precedent.
The Freshfields team is being led by Richard Johnson in London, supported by Harald Spruit and Thijs Flokstra in Amsterdam and Johannes Vogel in Frankfurt. The team also included Emily Szasz, Bob van Kasteren and Joe Soltis on tax, Paul van den Berg on regulatory matters, Jenny McIvor on financing, Ben Morgan on litigation and compliance, David Mendel on employment, pensions and benefits, Vanessa Jakovich on environment, and Giles Pratt on IP/IT. French law advice has been provided by Guillemette Burgala.
The in-house legal team at Arcus advising on the transaction is being led by managing director Alex Pantelakis and legal counsel Holly Gardiner.
