Global law firm Freshfields has advised Norddeutsche Landesbank in connection with the bridge financing of the public delisting tender offer for all outstanding shares in PharmaSGP Holding SE by Future GmbH to expand its existing stake in PharmaSGP Holding SE.
In addition to advising on the financing, Freshfields advised UniCredit Bank GmbH with a separate team on the takeover-related aspects of the delisting transaction and the issuance of the funding confirmation required under the German Securities Acquisition and Takeover Act (WpÜG) by an independent financial services provider.
The Freshfields team was led by Partner Frank Laudenklos, Counsel Alexander Pospisil and Principal Associate Lucas Lengersdorf (all Finance, Frankfurt).
