Freshfields represented 3D Systems Corporation, a leading US-based manufacturer of 3D printers and related materials and software, in connection with its upsized offering of $460 million of 0% Convertible Senior Notes due 2026. The notes were issued in a Rule 144A offering which closed on November 16, 2021. The offering was well-received by investors, pricing above expectations with a 0% coupon and a 42.5% conversion premium. 3D Systems achieved the best convertible pricing of the year for a technology company with a <$5 billion market cap.
