Stanford M&A Roundtable
Ethan Klingsberg, Partner, Co-Head of US Corporate and M&A, will facilitate discussions at the Rock Center Corporate Governance and M&A Roundtable hosted by Stanford Law School on October 6, 2026.
This roundtable will bring together leading practitioners, directors, investors and academics to discuss emerging issues at the intersection of corporate governance, M&A and technology.
Topics will include AI infrastructure investments and governance, founder control structures, antitrust developments, board oversight in transactions involving the federal government, Delaware fiduciary duty developments and other trends shaping the M&A landscape.
After participating in this roundtable, attendees will be able to:

- Assess evolving approaches to founder control, dual-class voting structures and other mechanisms that separate economic ownership from voting power
- Analyze the impact of federal and state regulatory developments on M&A transactions, including antitrust review and government involvement as a regulator, customer, lender and shareholder
- Understand recent Delaware legal developments affecting fiduciary duties, conflicts of interest and board decision-making in M&A transactions
- Identify emerging governance and transactional issues related to activism, interlocking directorates, compensation practices and retail participation in private and public markets
