Claire James, Head of New York Private Equity, will be speaking on the panel “Financial Sponsor Issues in M&A” at PLI’s Mergers & Acquisitions 2025: Advanced Trends and Developments.

This panel will discuss issues unique to dealing with financial sponsors in M&A transactions, including acquisition financing considerations and recent Delaware case law relating to conflicts of interest.

After completing this session, participants will be able to:

  • Understand key legal documents used by financial sponsors to finance acquisitions
  • Identify potential conflicts of interest that may be present when a financial sponsor is involved as a buyer or seller in a merger
  • Identify procedural and tactical considerations associated with selling a company when it has a financial sponsor as a major stockholder
