Unlocking people issues in global transactions
Global transactions present unique people related challenges. Whether an M&A transaction or other corporate deal will be effected through a share sale, asset sale, carve out, spin-off, or joint venture, people related issues can be critical to deal value and timelines.
Careful analysis and planning as to people issues are essential to ensure any global transaction proceeds smoothly. The relevant human resources and labour and employment law teams (including pension and executive compensation/benefit teams) will need to work together throughout the different phases of the transaction, ensuring local and global people issues are identified and addressed. Failing to do so can have serious implications, including on the value of the transaction, and could even result in personal liability for members of management.
