Dax is an associate in our Private Capital practice, based in the New York office. Dax’s practice focuses on leveraged finance matters, where he advises public and private companies, lenders, and agents on a broad range of financing transactions. His experience includes structuring and negotiating complex debt facilities, acquisition financings, and other corporate finance arrangements. Dax is dedicated to helping clients navigate the evolving leveraged finance landscape and achieve their strategic goals.

Borrower Side Transactions
- The Kroger Company in a $5 billion senior unsecured revolving facility; in a $4.75 billion senior unsecured term loan facility; and in a $10.5 billion offering of senior notes to finance a portion of the proposed merger between The Kroger Co. and Albertsons Companies Inc.
- Westinghouse Electric Company, LLC (a portfolio company of Brookfield Business Partners) in a $6 billion senior secured term loan and revolving facility.
- Genstar Fund XI in connection with its subscription facility.
- BroadStreet Partners, Inc. (a portfolio company of Ontario Teachers’ Pension Plan) in connection with an approximately $1.3 billion syndicated debt financing for its acquisition of Westland Insurance Group and a $3.5 billion syndicated debt refinancing of its existing term loan facilities which involved a revolver upsize.
- Feradyne Outdoors, LLC (a portfolio company of TruArc Partners) in connection with its refinancing of asset-based loan revolving facility and the corresponding amendments to the first lien and second lien term loan facilities.
- TruArc Partners, as sponsor, in its senior secured term and revolving facility for Watchtower Buyer, LLC to finance the acquisition of Watchtower Security, LLC.
Restructuring / Private Credit Side Transactions
- Core Scientific, Inc. in connection with its exit financing.
- Represented an ad hoc lender group in 2U, LLC’s prepackaged bankruptcy financing.
- Represented an ad hoc first lien lender group in the out-of-court restructuring of the capital structure of Covis Pharma, a portfolio company of Apollo Global Management, Inc.
Lender Side Transactions
- Citi, as administrative agent and arranger, in a $2.75 billion amended and extended senior unsecured revolving facility for Becton, Dickinson and Company to increase the existing facility and extend its maturity.
- Golub Capital, Goldman Sachs, and Blue Owl Capital in an acquisition financing in connection with the acquisition of Bazooka Candy Brands.
