About
Oliver specialises in structured finance transactions, focusing on securitisations and strategic equity products. He has worked on a number of multi-jurisdictional securitisation transactions across a range of asset classes (with particular experience in consumer credit), and is also regularly involved in transactions relating to the acquisition or disposal of loan portfolios. His work in the strategic equity space includes advising financial institutions and end-users on margin loans, total return swaps, collars, forwards, and share buy-backs.
Oliver also has experience in providing pro bono support on a number of social impact bonds. During his time at Freshfields, Oliver has been seconded to our Amsterdam office and to the strategic equity solutions desk at Morgan Stanley.
- Advising a global alternative asset manager on the acquisition and financing of a c. £800m portfolio of UK unsecured consumer loans.
- Advising PayPal on the upsize and renewal of its forward flow agreement with KKR for sales of European "buy now, pay later" loans and related securitisation funding agreements.
- Advising a global fintech business on a €1.4bn synthetic securitisation and credit risk mitigation transaction backed by a portfolio of German "buy now, pay later" loan receivables.
- Advising UniCredit on its stakebuilding exercise in Commerzbank.
- Advising a European infrastructure fund on a NAV financing secured by the fund's equity investments.
- Advising on a number of structured share disposal transactions.
