Freshfields advises lenders on refinancing of compassio Gruppe
Global law firm Freshfields has advised Skandinaviska Enskilda Banken AB (publ) (SEB) as arranger and coordinator, and a syndicate of lenders on the refinancing of compassio Gruppe B.V. & Co. KG, a portfolio company of Waterland Private Equity and one of Germany's leading private operators of care homes and senior residential facilities.
The transaction comprises a multi-tranche senior secured facilities package, including term loan facilities and a revolving credit facility, arranged to refinance compassio's existing senior indebtedness and to support the group's continued growth.. The financing incorporates a KPI-linked margin adjustment mechanism, reflecting the group's commitment to its workforce and to responsible business practices.
The compassio Gruppe, headquartered in Ulm, was founded in 2005 and currently operates approximately 100 care homes and senior residential facilities across Germany, providing care for around 11,000 residents and employing nearly 10,000 people. Its services range from full inpatient and short-term care to day care, outpatient intensive care and assisted living, with a particular focus on dementia care.
The cross-border Freshfields team advising the lenders on German and Dutch law aspects was led by Partner Michael Josenhans and included Principal Associates Hannes Butz (both Frankfurt), Matthis Grenzer, Associates Karl Kuhn (both Berlin), Beatrice Zobel (all Finance) and Principal Associate Sebastian Jung (Tax, both Frankfurt).
The Amsterdam team was led by Partner Tim Elkerbout and included Senior Associate Dámaris Engelschman and Associate Floris Misana (all Finance).
