Freshfields advises OTPP on its acquisition of Società Gasdotti Italia

Freshfields Bruckhaus Deringer (‘Freshfields’) has advised Ontario Teachers’ Pension Plan Board (‘OTPP’) on its proposed acquisition of a 69 per cent stake in Società Gasdotti Italia SpA (‘SGI’) from Macquarie European Infrastructure Fund 4 (‘MEIF 4’).

SGI is the largest independent gas transmission operator in Italy, with a 1,700-kilometre high pressure pipeline network transporting natural gas to key industrial and urban centres. MEIF 4 acquired SGI in a consortium with Swiss Life and has since supported the growth of the company through the construction of the San Marco-Recanati and Larino-Chieti pipelines as well as the development of a gas transmission network in Sardinia with SNAM.

The acquisition is conditional on the receipt of regulatory approvals.

The Freshfields team is being led in London by partner Patrick Ko and senior associate Richard Johnson and in Italy by partner Nicola Asti and senior associate Luca Sponziello with head of Freshfields’ Italian energy practice Giorgio Candeloro.
