Freshfields advises Yancoal Australia on global offering of shares and dual listing on HKSE

Freshfields Bruckhaus Deringer (‘Freshfields’) has advised Yancoal Australia Ltd (‘Yancoal Australia’) on the global offering and listing of its shares on the Main Board of the Hong Kong Stock Exchange (‘HKSE’). The value of the offering was US$178m (before any exercise of the Over-Allotment Option).

Yancoal Australia is incorporated in Australia and is Australia’s largest pure-play coal producer based on aggregate JORC Code coal reserves and marketable coal production. Yancoal Australia has been listed on the Australian Securities Exchange (ASX) since 2012.  Following the listing of the shares of Yancoal Australia on the HKSE, Yancoal Australia is dual primary listed on the HKSE and the ASX.  In connection with the Global Offering, Yancoal Australia also conducted an accelerated renounceable entitlement offer in Australia.

The Freshfields team advising on the deal was led by partner and China Chairman Teresa Ko, partner and Asia co-head of Global Transactions Grace Huang and partner Arun Balasubramanian.
