Freshfields advises Global Brands Group Holding Ltd. on US$1.38bn sale of North American licensing businessFreshfields Bruckhaus Deringer (‘Freshfields’) has advised Hong Kong-listed company Global Brands Group Holding Limited (‘GBG’) on the sale of a significant part of its North American licensing business to Differential Brands Group Inc., a portfolio company of US private equity firm Tengram. The US$1.38bn transaction is payable in cash (subject to closing adjustments).
As of 31 March 2018, the target business had pro forma sales revenues of approximately US$2.2bn.
GBG is a leading branded fashion accessories, footwear, and apparel company with a broad portfolio of globally-recognised consumer brands.
The Freshfields team advising on the deal was led by partner and China chairman Teresa Ko, partner and co-head of global M&A Matthew Herman and partners David Almroth, Aly El Hamamsy, Edward Freeman and Daniel French. They were supported by counsel Sebastian Fain. Counsel Laura Chapman advised on employment law matters.
