Valerie acts as counsel to both issuers and underwriters in domestic and international financings, and represents clients in all types of securities offerings, including initial public offerings, secondary offerings, high yield offerings, mezzanine and bridge financings, investment grade debt offerings, acquisition financings and recapitalizations. She also counsels corporations on corporate governance and securities regulation.
Before joining Freshfields, Valerie was the senior partner at Fried, Frank, Harris, Shriver & Jacobson LLP, where she also served as the head of the global capital markets practice. She is a frequent contributor to legal and other periodicals on securities laws and financing topics.

Valerie received her JD from Cornell Law School, and her BS from Boston University. She is admitted to practice in the State of New York.
