フレッシュフィールズブルックハウスデリンガー（以下「フレッシュフィールズ」といいます。）は、住友化学株式会社に対し、ペトロ・ラービグ社の株式の同社持分約22.5%をサウジ・アラムコ社に売却する取引について、アドバイスを提供しています。住友化学株式会社とサウジ・アラムコ社はペトロ・ラービグ社の財務改善のための枠組みに合意しています。売却後のペトロ・ラービグ社に対する住友化学株式会社の持分比率は15%になる予定です。クロージングについては規制当局および第三者の承認を含む条件を前提としています。

本取引については、フレッシュフィールズの東京オフィスのパートナーであるゴードン・パームクイスト及びノア・カー、サウジアラビアを拠点とするパートナーであるFares AlHejailan及びカウンセルのIbrahim Attarが中心となり、山田香織（東京オフィス パートナー）、ポーリン・フリシュ（東京オフィス カウンセル）などの独禁法の専門チームのサポートを得てアドバイスを提供しています。

We have advised Sumitomo Chemical on its sale of 22.5 per cent of the shares in Saudi exchange-listed Petro Rabigh to Saudi Aramco. The parties also agreed to other joint measures to improve Petro Rabigh’s balance sheet and cash liquidity. Following the sale, Sumitomo Chemical will continue to own 15 per cent of the shares of Petro Rabigh. Closing is subject to customary closing conditions, including regulatory and other third-party approvals.
