Freshfields advises B&B HOTELS on the acquisition of 30 hotels from AccorInvest

Global law firm Freshfields Bruckhaus Deringer has advised B&B HOTELS, one of the leading providers in the value-for-money segment, on a complex transaction involving 30 hotels of AccorInvest Group in Germany. The takeover is the largest in the company's history in the Central & Northern Europe region and represents an important milestone in the strategic development of B&B HOTELS.

The complex multi-asset transaction was completed together with partners BC Partners and Hova Hospitality. BC Partners acquires the hotel properties from AccorInvest and leases them to B&B HOTELS on a long-term basis.

With the new locations, B&B HOTELS expands its offering by 2,308 additional rooms and at the same time strengthens its presence in major cities and tourist regions. The company plans to modernize the hotels gradually and with consideration for ongoing operations. By this, B&B HOTELS consistently continues its expansion course with the aim of becoming the leading value-for-money hotel chain in Europe.

The Freshfields team was led by partner Julia Haas (Real Estate/M&A, Frankfurt). Partner Philipp Redeker and associate Elena Münster (both Düsseldorf) advised on tax law issues, partner Frank Schaer and principal associate Fabian Zöpfchen (both Frankfurt) on matters of employment law. Principal associate Philipp Roos and associate Julian Boatin (Düsseldorf) supported on data protection.

The transaction was advised inhouse at B&B HOTELS by group chief legal officer Marc Legris, chief legal officer Central & Northern Europe Andre Kostic and legal counsel Elena Platte.

On the lease agreements for the hotel properties B&B HOTELS was advised by KUCERA Rechtsanwälte with hospitality partner Matthias Frank (lead), partner Isabel Tannenberg (tax), counsel Nicole Ruf (construction) and senior associate Michael Plehn (hospitality).

BC Partners Real Estate and Hova Hospitality were advised on the transaction by Green­berg Traurig. AccorInvest was advised by Clifford Chance. The transaction was notarized by Wolfram Krüger of Linklaters.
