Freshfields advises Barclays, Goldman Sachs and other banks on a TLB financing for MEDIAN Group

Freshfields Bruckhaus Deringer ('Freshfields') has advised Barclays, Goldman Sachs and certain other banks ('Banks') on a financing for MEDIAN Group, one of the leading European healthcare providers (rehabilitation clinics, hospitals and care facilities). The financing comprised of a EUR 800,000,000 term loan B (TLB) (of which an amount of GBP 250,000,000 is made available as a separate tranche) which has been marketed to institutional investors and a EUR 120,000,000 revolving credit facility. The proceeds from the financing shall be used to refinance certain existing financing arrangements of MEDIAN Group, for certain acquisitions and for working capital purposes.


Freshfields has advised over recent years on many complex TLB transactions, as this finance product has seen a substantial increase in the market. The Freshfields team has advised the Banks on all the legal aspects of the transaction, including with regard to pre-marketing and marketing of the TLB to potential institutional investors.
