Freshfields advises UDG Healthcare plc on the recommended cash offer by Clayton, Dubilier & Rice

Freshfields Bruckhaus Deringer (‘Freshfields’)  is advising UDG Healthcare plc (“UDG”) on the recommended cash offer by Clayton, Dubilier & Rice (“CD&R”), the U.S. based private investment firm.
 
UDG is a global leader in healthcare advisory, communications, commercial, clinical and packaging services. It is organised and managed across two divisions, Ashfield and Sharp, and employs c.9,000 people in 29 countries. The offer values the entire share capital of UDG at approximately £2,611m.
 
The acquisition is conditional on the receipt of antitrust, shareholder and court approvals, and is expected to close in the third quarter of 2021.
 
The Freshfields team is being led by global transactions partner Julian Pritchard, supported by senior associate Tamara Young. Partners Alastair Chapman and Holly Insley led on antitrust and employment matters respectively. A&L Goodbody LLP is advising UDG on Irish law matters.
