Head of Freshfields' London tax practice, Helen advises across the corporate tax spectrum, with a particular focus on fund and deal structuring for a range of global financial investors and asset managers.
Her work encompasses public and private M&A, joint ventures, IPOs and restructurings and spans a number of sectors, including telecommunications, infrastructure, insurance and (increasingly) tech and fintech based businesses. Helen also has expertise in management incentivisation and, whilst most of her work in this area is sponsor-side, she has acted for a number of founders and management teams on exit and rollover tax considerations.
Helen has extensive experience of advising on structured and asset finance deals, and she continues to advise her bank clients on tax matters affecting their businesses today.

- a consortium comprising Blackstone, GIC and MassMutual on its acquisition of Goldman Sachs' shareholding in Rothesay Life, one of the leading providers of annuity risk transfer solutions in the UK, in a deal valuing the group at around £2 billion;
- Blackstone on its acquisition of a majority share in Cloudreach, a leading, fast-growing global cloud enabler headquartered in London, and the bolt-on acquisition of a majority stake in Philadelphia-based cloud computing analytics company Cloudamize Inc;
- BT on the long-term regulatory settlement reached with Ofcom for Openreach, the division of BT responsible for building and maintaining the tens of millions of copper and fibre lines that run from telephone exchanges to homes and businesses across the UK, to become a legally seperate company with its own Board within the BT Group;
- a consortium led by Centerbridge Partners on its acquisition of Sompo Canopius, a Lloyd's of London insurance business, from Sompo Japan Nipponkoa Insurance for $952m;
- Cinven on its sale of CPA Global, the world's leading IP management and technology company, to Leonard Green & Partners, L.P., a leading US buyout firm in a deal which values the business at £2.4 billion;
- Hotelbeds on its acquisition of the GTA bed bank business from Kuoni, having previously advised Cinven and CPPIB on their acquisition of Hotelbeds from TUI in 2016;
- HNA on its purchase of a 51% equity interest in Glencore's worldwide petroleum products storage and logistics business for approx. US$775 million;
- Warburg Pincus on its sale of Safetykleen Europe, the largest service provider of surface treatment and chemical application services, to funds advised by Apax Partners and its sale of the ETF Provider, Source, to Invesco.
