Noah Carr is an M&A partner in our Tokyo office. He has been based in Tokyo for more than 10 years and is qualified in the US (New York). Noah works with clients on their strategic planning and is noted for his ability to bridge technical and cultural differences in Japanese and international deal processes.
He specialises in complex public and private acquisitions, carve-outs, private equity and growth capital investments, joint ventures and strategic alliances, serving a variety of Japanese corporates and investors as well as international financial sponsors.

- Advised Hitachi Global Life Solutions in its multi-billion-dollar air conditioning joint venture restructuring with Bosch and Johnson Controls, including Hitachi’s US$1.4bn sale of shares in the Johnson Controls-Hitachi joint venture and Hitachi’s related acquisition of Japanese production and R&D assets - “M&A Deal of the Year (Premium)”(ALB Japan Law Awards 2025).
- Advised NEC Corporation on its pending US$2.9bn acquisition of Nasdaq listed SaaS solutions provider CSG Systems.
- Advised Sumitomo Chemical on its sale of 22.5% of the shares in Saudi exchange-listed Petro Rabigh to Saudi Aramco.
- Advised The Yokohama Rubber Co., Ltd. on its acquisition of The Goodyear Tire & Rubber Company’s off-the-road (OTR) tire business for $905m in cash.
- Advised Toray Industries on its sale of interests in LG Toray Hungary Battery Separator Kft., a 50/50 battery separator film joint venture in Hungary, to its joint venture partner LG Chem.
- Advised a sovereign investor in the consortium take-private acquisition of the TSE-listed software company.
- Advised ENEOS Materials Corporation in its agreement to acquire, from Hungary’s MOL Group, a 49% equity interest in ENEOS MOL Synthetic Rubber Ltd.
- Advised the Special Committee of the Board of Directors of PropertyGuru on its $1.1bn take-private by EQT.
- Advised a Japanese pharmaceutical company on its strategic collaboration with, and preferred share investment in, an Israeli medical device start-up.
- Advised an education systems and services provider on its US$286 million reorganisation, auction and sale to a leading global PE sponsor.*
