SEC registered deals

The following is a selection of transactions advising:

  • JP Morgan in connection with the SEC-registered secondary offering by Cukurova Holding A.S. and Cukurova Investments N.V. of ordinary shares of Turkcell;
  • Evotec AG in connection with its acquisition of Renovis, which involved the SEC registration and Nasdaq listing of ADSs evidencing Evotec’s ordinary shares;
  • A leading international bank and JP Morgan in connection with the privatization of Telkom South Africa and its simultaneous listing on the Johannesburg Stock Exchange and the New York Stock Exchange;
  • BT and mmO2 in connection with the SEC-registered demerger of its cellular operations;
  • Dialog Semiconductor, an English company with operations primarily in Germany in connection with an SEC registered secondary offering and listing on the Nasdaq Stock Market. Goldman Sachs International acted as lead underwriter;
  • Goldman Sachs in connection with a registered shelf debt take down of the MTR Corporation Limited in Hong Kong;
  • P&O in connection with the demerger of P&O Princess Cruises and its listing on the New York Stock Exchange. J.P. Morgan acted as financial adviser to P&O;
  • Prudential plc in connection with its listing on the New York Stock Exchange and the related registered equity offering in the United States. Morgan Stanley acted as lead underwriter;
  • Reed Elsevier in connection with a registered offering of Reed and Elsevier shares;
  • Merrill Lynch International in connection with the IPO of Regus PLC, an English company, that resulted in dual listings on the Nasdaq Stock Market and the London Stock Exchange;
  • The Royal Bank of Scotland in connection with an offering of preference shares. The preference shares were listed on the New York Stock Exchange and were registered with the SEC. Goldman Sachs International and Merrill Lynch International acted as lead underwriters;
  • The Royal Bank of Scotland in connection with an SEC registered offering to its employees in the United States;
  • The Royal Bank of Scotland in connection with its bid for the National Westminster Bank, including a registered offering in the US. Goldman Sachs and Merrill Lynch were the financial advisers;
  • JP Morgan in connection with an offering of debt securities by Stagecoach. Although the debt securities were not listed in the United States, they were registered with the SEC;
  • General Electric Company (now Marconi plc) in connection with the IPO of Alstom, which was listed on the New York, London and Paris Stock Exchanges. Goldman Sachs International and Credit Suisse First Boston acted as lead underwriters;
  • A leading international bank in connection with an SEC registered equity offering by ECsoft, which was already listed on the Nasdaq Stock Market and obtained a listing on the London Stock Exchange in connection with the offering;
  • Italian Ministry of the Treasury in connection with another secondary offering of shares in ENI. Credit Suisse First Boston acted as lead underwriter;
  • Reed Elsevier in connection with an offering to its employees. Reed Elsevier is listed on the New York, London and Amsterdam Stock Exchange;
  • William Hill in connection with an offering of debt securities in the United States. Bankers Trust International acted as lead underwriter. Although, the debt securities are not listed in the United States, they were registered with the U.S. Securities and Exchange Commission; and
  • Italian Ministry of the Treasury in connection with the secondary offering of shares in ENI, which is listed on the New York and Milan Stock Exchange. Credit Suisse First Boston acted as lead underwriter.
