Our tax lawyers advise on optimizing fund and investment structures for investors and post-tax cash flows, implementation, avoiding tax pitfalls, documentation required to reduce or eliminate tax risk and maximizing our clients' flexibility from fund formation to exit. We have considerable experience across our network in adapting US-originated equity structures to fit EU domestic corporate legal frameworks, and our international tax team is well accustomed to devising structures that meet the often conflicting constraints imposed by US-based limited partners and European tax laws.
Our finance and banking lawyers have extensive experience advising on the financing aspects of a wide range of private equity-related transactions, acting for banks, private equity investors, funds and strategic investors. The group advises on public to private transactions, conventional senior and senior/mezzanine structures, structures involving privately placed PIK notes and other non-cash pay instruments, high-yield bonds (placed in Europe and the US), bridge loans, derivatives transactions, securitizations and resolving inter-creditor issues that arise in the context of multi-sourced financings.

- The Carlyle Group on its €245m LBO/MBO and take private of Edscha, a public German automotive components manufacturer - US advice included designing, implementing, and setting up a particularly innovative tax structure and issues relating to a two-step public tender offer take-private transaction;
- Invensys on the $145m sale of its US and European Drive Systems business to NewCo (Eastern), a new company formed by the management of Invensys Drive Systems, backed by Compass Partners Europe;
- John Hancock Life Insurance Company on its equity investment in Innisfree M&G PPP LP, a UK power project private equity fund;
- ArcLight Capital on its substantial equity investment in a Spanish energy company, Generanova;
- IM Internationalmedia, a public German media company, on structuring its planned cross-border acquisition of a US-based film production company in a tax-free share-for-share transaction;
- ArcLight Energy Partners on the purchase of $30m of the Series A preferred equity shares and $60m debt of Cline HoldCo, which owns three coal mines in West Virginia;
- ArcLight Capital Partners on its equity investment in a 200MW power project located in Nevada; and
- John Hancock Life Insurance Company on the mezzanine financing of the purchase of a portfolio of power plants from Columbia Electric.
