We also help clients across a range of industry sectors to manage and resolve their day-to-day legal and commercial issues, including providing advice on corporate governance, financial reporting and SEC disclosure (including Sarbanes-Oxley Act compliance and best practices). Freshfields' integrated international practice allows us to provide local and sector advice on the most complex, multi-jurisdictional transactions that have an important US component.
Attorneys in our U.S. corporate group in Europe and Asia also form an essential part of the Firm's corporate team. Each of our European- and Asian-based partners has many years of experience advising non-U.S. companies in connection with U.S. securities and corporate law. Our U.S. lawyers in Europe and Asia also regularly work with our U.S. corporate team in NY on a wide range of matters. We have the capacity to manage and execute the most complex U.S.-related European and Asian transactions. With an emphasis on securities transactions, our U.S. corporate group in Europe and Asia handles a large number of private and SEC-registered equity and debt (particularly high yield) offerings. We also act on a wide range of restructuring transactions, de-mergers and spin-offs and have a significant practice advising non-U.S. companies on the U.S. securities law aspects of public M&A transactions.
