Recent developments in shareholders’ appraisal rights in a demerger

The Japanese Supreme Court recently issued a significant ruling on the statutory appraisal right of a shareholder who objects to a demerger under the Japanese Companies Act. The case provides up-to-date guidance on the ‘fair price’ a company must pay to the objecting shareholder who has exercised his appraisal right. (June 2011)

Financial alternative dispute resolution system

The financial alternative dispute resolution system (FADRS) to handle finance-related grievance procedures and dispute settlement procedures (FADR) was introduced in Japan in October 2010. The FADRS is designed to ensure substantive equality between customers and financial institutions. Because of the obvious gap in expertise, information and dispute settlement capability between customers and financial institutions, the FADRS is designed to protect customers’ interests. This briefing explains the main functions of the FADRS. (June 2011)

Recent developments in soil contamination countermeasures law

The Soil Contamination Countermeasures Law was amended last year. A recent government report has highlighted the considerable impact of the new amendments. This briefing summarises the key changes under the recent amendments that, among other things, expanded owners’ obligations to conduct contamination investigations and clarified remediation responsibilities. This briefing also assesses the impact of the amendments on real estate transactions, including due diligence. (June 2011)

The Japan Fair Trade Commission abolishes informal prior consultation and changes the merger review process

The changes include the abolition of the non-statutory prior consultation, which was de facto required for mergers with substantive issues and which often caused great uncertainty to transaction timelines. Under the new rules, all mergers are reviewed based on the statutory timetable to achieve better predictability. The JFTC’s review process will be much more aligned with the EU process. The revised rules will be in effect on 1 July 2011. (June 2011)

瑕疵のある建物の建築に関与した設計・施工者等の損害賠償責任に関する最高裁判例

平成23年7月21日、最高裁判所は、建物の瑕疵を放置するといずれは居住者等の生命、身体又は財産に対する危険が現実化する場合には、建物所有者は、当該瑕疵があることを理由として、建物の建築に関与した設計者、施工者及び工事監理者に対して、不法行為に基づく修補費用相当額の損害賠償請求が可能である旨判示しました。本判決を契機に、瑕疵担保責任を追及し得る地位を承継していない建物所有者が、設計者、施工者及び工事監理者に不法行為を理由とした損害賠償を請求する機運が高まることが予想されます。(August 2011)

公正取引委員会が「事前相談制度」の廃止など企業結合審査の新ルールを発表

公正取引委員会は、2011年7月1日から適用される企業結合審査の新ルールを発表しました。今回廃止される「事前相談制度」は、これまで競争制限が懸念される企業結合についての事実上不可欠な手続として運用されてきたもので、正式届出前に公取の審査結果を相談者に示すという日本独特の制度でした。法律の示すタイムテーブルに縛られないというメリットはありましたが、他方で予測可能性を低いものにしているという指摘もありました。新ルールにより、全ての企業結合審査が独禁法上の正式届出からスタートすることとなり、企業結合に関するスケジュールを管理し易くするものと期待されます。また、新ルールは、欧米のルールに大きく歩み寄るもので、日本における届出対応も欧米に近いものにする必要性が高まると思われます。(June 2011)

グローバルに事業を展開する企業が、ある日突然、海外で外国当局によって法令違反の指摘を受け、複数の国にまたがる調査の対象になる可能性が高まっている。経済のグローバル化につれ、国際的な事業活動を展開する企業についても、法令遵守（コンプライアンス）を確保し、企業の犯罪や法令違反行為を取り締まろうという流れが国際的に強まっているからだ。本稿では、外国当局による調査が近年増加している背景を説明するとともに、その具体例を紹介し、そうした事態に直面した場合に企業が取るべき対応と留意すべき事項を検討する。(本稿は、レクシスネクシス・ジャパン発行のビジネスロー・ジャーナル2010年10月号に掲載された論文を、2011年5月現在の情報に基づき一部改定したものです。) (May 2011)
