Jocelyn specialises in UK and international employee share schemes and employment law.
She advises on designing and documenting share incentive schemes for employees and senior executives and has extensive experience of share scheme and employment related issues on private equity transactions, public and private mergers and acquisitions, IPOs and joint ventures.
Jocelyn's private equity work has included acting for:
- Nomura on its bid for Hyder plc;
- Morgan Stanley Dean Witter on its investment in the Underwriter Insurance Company, its takeover of the Acorn Group and its acquisition of Quilter;
- Inmarsat in connection with a partial MBO of one of its businesses: Ineos Acrylics on the establishment of employee share schemes following their buy-out from ICI; and
- C E Heath on its "take-private" of Lambert Fenchurch.
Recent work has included acting for Hewlett-Packard and Agilent Technologies on their multi-jurisdictional demerger and their respective worldwide employee share scheme offerings. Jocelyn acts for a number of international companies including AMP, EMI, Kingfisher, Rolls-Royce and Scottish Power.
