About Dr. Michael Josenhans

Michael is a partner in the firm’s Global Transactions group as well as in the Private Capital sector group. He advises on banking and finance law with a particular focus on syndicated loan transactions, acquisition and infrastructure finance. 

For 20 years, he has been regularly advising lenders, sponsors and borrowers on the full range of credit and debt financings. Based on his extensive experience, he provides deep understanding of complex issues and the rapidly changing components of financings. Numerous corporate clients, banks, funds and investors rely on his advice for their most important acquisitions, financings and (re)structurings.

Leveraged finance

  • Permira on the debt financing and investment in GGW Group and various other transactions;
  • Cinven, CVC, One Equity Partners, H.I.G. Capital and Corton Capital on various leveraged finance transactions;
  • Hayfin and its funds on the financing of the acquisition of shares in companies of the Hipp Group by Hipp GmbH;
  • Blackstone Credit, Arcmont, Apera, Kathesia and H.I.G. Capital Whitehorse on various debt fund financings;
  • Näder Holding on the repurchase of 20% of the shares in Ottobock from EQT and a new refinancing of Näder Holding; and
  • Razor Group on the acquisition of Perch, on Razor’s concurrent Series D funding round led by Presight Capital as well as on the acquisitions of Valoreo and the Stryze Group.

Corporate finance

  • Villeroy & Boch on the acquisition financing of Ideal Standard Group;
  • Grünenthal on the €500m acquisition financing of the testosterone business from Bayer as well as on the fundamental realignment of its debt structure in a total amount of €1.6bn;
  • A consortium of banks on a €400m refinancing of automotive supplier Huf Hülsbeck & Fürst; incl. term loans, revolving credit facilities, factoring programmes and syndicated loan;
  • TeamViewer AG on a €600m credit line;
  • Evotec AG on the acquisition financing of a target in the USA and a realignment of the capital structure; and
  • Hugo Boss on a €600m revolving syndicated loan with sustainability focus.

Infrastructure finance

  • An international consortium of lenders on the debt financing for the acquisition of a 50% stake in Gode Wind 3 offshore wind farm;
  • Skyborn Renewables, a leading offshore wind developer and operator, on a revolving credit facility with Banco Santander;
  • Global Infrastructure Partners as borrower in a syndicated multi-currency letters of guarantee facility arranged by a consortium of banks;
  • TNG, ICG’s fibre company, on the €325 million syndicated financing of their fibre-network roll-out in Germany; and
  • The lenders in connection with the €1.375bn syndicated credit facilities agreement of Deutsche Glasfaser in connection with the sale of Deutsche Glasfaser group by KKR to EQT.

Bank-bond transactions

  • A consortium of banks in connection with Wepa Hygieneprodukte’s offering of €250m of 5.625% senior secured notes.
  • Nordex on a financial restructuring, which included a guarantee facility, a liquidity line, EiB loan agreements and a high-yield bond;
  • A consortium of banks on the inaugural high yield bond offering by Standard Profil, a portfolio company of Actera; and
  • A consortium of banks on the high yield bond offering by Profine.
